eligible competing wireless provider are eligible for up to $450/line (“Payout”) if they meet all requirements. Payout requires (1) an
amount owed (unpaid smartphone installment plan balance (“Payoff”) and/or early termination fee (“ETF”)) to a U.S. wireless service provider
other than AT&T (“Third-Party Provider”) on a smartphone line; (2) port-in of that same line phone number from the Third-Party
Provider to AT&T; (3) activation of that phone number on a qualifying AT&T postpaid wireless line of svc (voice & data) for
business. Eligible business customer must meet these three requirements for a minimum of 11 lines. Customer may purchase a new
smartphone from AT&T or bring an already-owned compatible smartphone. Customer is responsible for completing any device unlock,
installment plan balance payoff, and any other process or payment required by the Third-Party Provider prior to porting a line.

Switcher Payout Payout to a business customer will be determined by the balance on the Third-Party Provider smartphone line
(Payoff or ETF) and will not exceed $450 per line or $50,000 per business. Payout will not be made for any charges or fees other than
Payoff or ETF. To receive Payout for a given line, the line must remain active on a qualifying AT&T wireless plan for a minimum of
30 days from activation. Activation date starts same day as AT&T Installment Plan or service agreement. To receive Payout for a
line, the business customer must upload the most recent Third-Party Provider customer bill showing then-current Payoff or ETF, dated
no more than three calendar months prior to AT&T service activation date. Bill must be uploaded to
https://rewardcenteroffers.com/BusinessPayoff within 60 days of first AT&T line activation under this offer. To receive Payout
for a line, the line must be ported to AT&T within 90 days of activation of the business customer’s first line ported under
this offer. Payout for all offer-eligible lines from a business customer will be made by up to four checks sent on or about day 45, day 60,
day 90, and day 120 after first eligible activation and bill upload under this offer. Checks may take up to 10 business days to arrive.
Limits: Third-Party Provider eligibility excludes Cricket, AT&T PREPAID, AT&T Resellers, Residential Wireless, Wireline
VOIP services. Some Third-Party Provider phone features may not work on the AT&T network. Offer may not be combinable w/other offers,
